CompVaultPro Terms & Conditions
These terms apply to the use of the CompVaultPro software and participation in the Founding Office / Pilot Program by assessor offices and government appraisal teams. By using our Services, you agree to these practical guidelines designed for clarity and defensibility in government settings.
1. Definitions
CompVaultPro: The software platform and associated services provided by Fisher Valuation and Advisors LLC.
Customer: The county, muni, or government appraisal office using the software.
Founding Office / Pilot Program: An early-adopter framework providing discounted access in exchange for testing and feedback.
Services: The technical support, maintenance, and software access provided under this agreement.
2. Scope of Use
CompVaultPro is a commercial comparable data and workfile system designed for internal government use. It is not a CAMA system and does not replace your existing tax administration software. The license is for intended office use only; reselling or providing the software as a service to third parties is strictly prohibited.
3. Deployment & Data
The software is typically installed on the Customer’s own SQL Server and local workstations. As such, the Customer is responsible for its own IT environment, hardware maintenance, backups, and user access controls. The vendor does not host or control Customer production data unless a separate agreement is made in writing.
4. Pilot / Founding Office Program
The pilot program offers discounted first-year pricing and closer collaboration during implementation. During this phase, software features may be under active development and subject to change. Customers agree to provide feedback for product improvement. Either party may end the pilot with reasonable written notice; continued access after the pilot remains subject to a standard software license.
5. Fees & Payment
Pricing is based on office size, seat count, and deployment approach. Small office pricing generally ranges between $2,000–$2,500/year, with scaling for larger jurisdictions. Invoices are due within 30 days unless otherwise noted. Optional services like data migration or onsite training are billed separately.
6. Support & Training
Reasonable technical support is provided during normal business hours. Founding Offices often receive more direct access to the product development team. Training may be conducted remotely or onsite as specified in individual purchase orders.
7. Confidentiality & Data Security
Each party will protect the other's confidential information with reasonable care. If the vendor has access to data for support purposes, it will be handled strictly to provide the Services. The Customer remains responsible for internal security policies and compliance with local regulatory requirements.
8. Warranties & Disclaimers
The software is provided "as is." While we strive for excellence, no software is flawless. The vendor does not provide legal, tax, or valuation advice. The Customer remains solely responsible for its own valuation decisions and legal compliance.
9. Limitation of Liability
To the extent allowed by law, vendor liability is limited to fees paid during the applicable service period. The vendor is not liable for indirect damages, including lost tax revenue, penalties, or consequential data loss.
10. Term & Termination
This agreement runs for the term stated in the order or pilot agreement. Either party may terminate for material breach if not cured within a reasonable notice period. Upon termination, the Customer must cease software use; the Customer remains responsible for their own historical data.
11. Government Purchasing & Compliance
The vendor will cooperate with standard government contracting, security review, and purchasing processes. In cases of conflict between these terms and a signed government contract, the provisions of the signed contract shall control.
12. General
These terms represent the entire agreement and may only be changed in writing. Governing law is set by the state where Fisher Valuation and Advisors LLC is based, unless otherwise required by statute. For any questions regarding these terms, please contact our support team.
